1. General Provisions

This Agreement, together with the product information displayed on this website, governs the relationship between  PARTNUGGET CAR PARTS TRADING DWC-LLC (“RESELLER OF RECORD”) and  you, (the “Buyer”). Please read these terms carefully before placing any order or using the services of the RESELLER OF RECORD.

The RESELLER OF RECORD confirms that it is the legal purchaser of goods from the original suppliers whose offerings are visible on this website. The RESELLER OF RECORD is responsible for issuing invoices, receiving payments, accepting and dispatching goods, and ensuring compliance with the laws of the United Arab Emirates (UAE).

By accessing your personal account, using the services of the RESELLER OF RECORD, placing orders, or purchasing goods through this website, you agree that you and any entity you represent shall be bound by this Agreement, the KYC Policy and the Privacy and Personal Data Processing Policy. If you do not accept these terms, you may not use the services of the RESELLER OF RECORD or place orders.

Your use of the RESELLER OF RECORD’s services is also subject to any additional policies, rules, or terms that may be published from time to time, including specific product terms, shipping policies, and applicable return procedures.

The Parties recognize the legal validity of scanned copies, electronic correspondence, and data stored on the website and servers of the RESELLER OF RECORD.

2. Registration and Account Access

Buyers must provide accurate, current, and complete personal and business information during registration. The details provided in the user profile will be used for invoicing, KYC verification, and must reflect the actual legal entity responsible for the payment and receipt of goods.

Buyers are strictly prohibited from granting third-party access to their personal account. The Buyer is fully liable  for any liability, loss, or damage resulting from unauthorized access to their account or from the sharing of their account credentials.

All actions performed through the Buyer's account are recorded and deemed legally binding.

Official communications, including confirmations and notifications, will be sent to the email address provided during registration.

3. Placing Orders

All orders must be placed exclusively through this website. Each order shall be identified by its part number (SKU), brand, price, and the agreed delivery lead time, as displayed in the website interface for delivery to the RESELLER OF RECORD’s partner fulfilment center, based on the respective Supplier’s listing.

Upon order placement, 10% of the total order value shall be withheld from the Buyer’s account balance. If the account does not have sufficient funds at the time of order placement, the order shall not be accepted.

Product availability and prices are subject to change. Order placement does not guarantee product availability. If ordered items are unavailable, the withheld amount will be returned to the Buyer's account.

Owing to standard manufacturer and supplier practices, delivered items may carry SKUs that differ from those listed in the order. Buyers agree to accept interchangeable parts with identical specifications from the same brand.

4. Order Cancellation

Order cancellation by the Buyer is only permitted if the seller fails to deliver the goods to the RESELLER OF RECORD’s partner fulfilment center within the delivery timeframe specified at the time of order placement.

5. Invoicing and Payment

The full value of the ordered goods will be deducted from the Buyer’s account upon shipment, after which a final digital Commercial Invoice and/or Tax Invoice will be issued. Digital invoices require no stamps or signatures and are fully compliant with UAE law.

Accepted payment methods and conditions are specified in the website interface. Payments must originate from the same entity listed in the user profile.

The minimum order value is USD 500. Orders below this threshold will not be processed.

6. Shipping

Upon arrival of goods at the Designated sorting center, Buyers must provide clear delivery instructions, indicating either a logistics provider or pickup arrangements, as well as the recipient's details for Free Zone deliveries.

All delivery instructions, dispatch schedules, and related communications must be submitted via the website interface.

Delivery terms are EXW (Ex Works). Title and risk pass to the Buyer upon dispatch or transfer to the indicated logistics provider.

All customs clearance, handling, and additional charges are the sole responsibility of the Buyer.

7. Storage

Free storage is provided for 28 calendar days from the date the goods arrive at the RESELLER OF RECORD’s partner fulfilment center.

From the 29th day, a storage fee of 0.1% of the unpaid goods' value per day will be charged. Storage fees are automatically debited from the Buyer’s account once per month.

If the Buyer fails to collect the goods within the free storage period and refuses to pay applicable storage fees, such inaction shall constitute a forfeiture of the purchase contract. The RESELLER OF RECORD reserves the right to cancel the order and dispose of the goods at its sole discretion.

In such cases, the Buyer agrees to pay the RESELLER OF RECORD an information and processing service fee equal to 100% of the value of the goods. New orders will be blocked until all outstanding balances are fully settled.

8. Compliance

All Buyers must comply with all applicable UAE trade regulations, customs policies, and international export control laws.

Buyers confirm that the purchased goods will not be re-exported or resold in violation of international sanctions or embargoes. Otherwise, the RESELLER OF RECORD reserves the right to reject or suspend such a transaction.

9. Indemnification

The Buyer unconditionally indemnifies and holds harmless the RESELLER OF RECORD from any claims, liabilities, losses, damages, costs, and expenses (including legal fees) arising directly or indirectly from transactions conducted via the website. This includes, but is not limited to, disputes related to product quality, non-conformity, delivery delays, inaccuracies in seller listings, or third-party actions.

10. Final Provisions

The RESELLER OF RECORD reserves the right to unilaterally amend the terms of this Agreement by notifying the Buyer via the website or email no later than five (5) calendar days prior to the effective date of such changes.

The Buyer is responsible for regularly reviewing their account and email notifications for any updates to this Agreement. If the Buyer does not consent to the changes, they must immediately stop using the services of the RESELLER OF RECORD. Continued use of the website after changes take effect constitutes acceptance of the updated terms.

This Agreement shall be governed by the laws of the United Arab Emirates. Any disputes shall be resolved within the legal jurisdiction of Dubai South Free Zone.
