TERMS & CONDITIONS FOR SUPPLIERS

1. General Provisions
These Terms & Conditions (“Terms”) govern the relationship between the Trading Platform (“Platform”) and any legal entity registered as a supplier (“Supplier”) on PARTNUGGET.COM (“Website”).
By registering on PARTNUGGET.COM and creating a Supplier Account, the Supplier confirms full and unconditional acceptance of these Terms, the KYC Policy, and the Privacy and Personal Data Processing Policy.

PARTNUGGET.COM enables registered Suppliers to offer automotive products for sale on the marketplace accessible at Website.
The Platform purchases products from Suppliers only after a Buyer places an order on Website, and resells them to the Buyer. All purchases are executed on a just-in-time basis strictly in response to confirmed orders.

The Parties acknowledge the legal validity of scanned documents, electronic correspondence, and digital records stored on the Platform.

.2 Supplier Registration
Suppliers must provide accurate, current, and complete business information.
This information is used for documentation, payment processing, and KYC verification, and must reflect the actual legal entity responsible for delivering goods and receiving payments.
Account sharing is strictly prohibited.
The Supplier is fully responsible for all actions performed through its account, including those arising from unauthorized access or careless handling of login credentials.
All losses, damages, or liabilities resulting from such unauthorized access shall be borne solely by the Supplier.

3. Product Listings
Suppliers must upload and maintain accurate, up-to-date listings, including:

• Part Number (SKU)

• Brand

• Price (in the selected currency)

• Completion time (in calendar days)

The Supplier is responsible for ensuring all listed information remains correct at all times.

4. Order Processing
When an order is placed through the Platform, the Supplier must confirm it as soon as possible via the supplier interface.
Orders may be cancelled without notice until the Supplier confirms them.
Once confirmed, the Supplier must promptly upload a valid commercial invoice and ensure timely delivery of the ordered goods.
5. Delivery & Acceptance
All products must be delivered to the following fulfilment center:

FB-81, Forwarders Area,
DWC Logistics City, Dubai South, UAE
Upon receipt, the Platform’s logistics partner will inspect the items for:

• Correct Part Number (SKU) and brand

• Acceptable physical condition (no installation marks, mechanical damage, counterfeit indications; proper packaging and labeling)

• On-time delivery relative to the confirmed completion time

If the delivery meets all requirements, the goods will be accepted and the Supplier’s account balance will be credited accordingly.
If items are rejected due to non-compliance (e.g., wrong item, wrong brand, damaged goods, shortages, counterfeit concerns, or late delivery):

• The Supplier must collect the rejected items from the fulfilment center within 7 days.

• If the Supplier fails to collect them, the Platform may return the goods using a delivery service of its choosing, with all costs charged to the Supplier.

• A credit note will be issued for the full value of the rejected goods.
   

6. Payments & Disbursements
Payments to Suppliers are made only after the goods are accepted at the fulfilment center.
Payouts are made weekly by bank transfer to the account listed in the Supplier profile.
The minimum payout amount is AED 5,000 (or its equivalent). Smaller balances roll over to the next payout cycle.
The Platform is not responsible for delays or failures caused by inaccurate or incomplete bank details provided by the Supplier.

7. Returns
Rejected goods must be collected by the Supplier at its own expense.
If the Supplier does not collect the returned items within 30 days, the Platform may dispose of them at its discretion without further liability.

8. Compliance Obligations
Suppliers must comply with all applicable UAE trade laws, customs regulations, and international export-control requirements.
Suppliers must also adhere to relevant environmental, social, and corporate responsibility standards, including sustainability, emissions control, waste management, and labor practices.
Suppliers may not offer or supply goods obtained through illicit channels or linked to restricted jurisdictions, individuals, or entities.
The Platform reserves the right to suspend or terminate Supplier accounts if any compliance, regulatory, reputational, or legal risks are identified.

9. Liability & Indemnification
The Supplier agrees to fully indemnify the Platform, its affiliates, and partners against any claims, damages, penalties, losses, or liabilities arising from:

• Incorrect or inaccurate product listings

• Delivery of incorrect, counterfeit, damaged, or unauthorized goods

• Breach of agreed delivery terms

• Regulatory violations or disputes involving supplied products
   

10. Amendments & Final Provisions
The Platform may amend these Terms unilaterally by notifying Suppliers via the Website or email no less than five (5) days before the changes take effect.
Suppliers are responsible for reviewing notifications and updates.
If the Supplier does not agree with the revised Terms, use of the Platform must stop immediately.
Continued activity after the effective date constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the United Arab Emirates.
All disputes shall be resolved under the jurisdiction of the Dubai South Free Zone.
